# Terms and conditions for registration and use of the commission system

General Terms and Conditions of the Toret plugins s.r.o. Affiliate Program valid from March 1, 2021.

## 1. Basic Provisions and Definitions

The “**Operator**” of the affiliate system is the company Toret plugins s.r.o. with its registered office at Jičínská 226/17, 130 00 Prague, Company ID: 08860980. The company is registered in the Commercial Register maintained by the Municipal Court in Prague under file no. C 326539.

---

A “**Partner**” may be a natural person over 18 years of age capable of legal acts or a legal entity that registers on the Operator’s website and, based on logging into the affiliate system and after agreeing to these conditions, joins the affiliate system. A person who is in an employment or other similar relationship with the Operator and relatives of these persons cannot be a Partner. In case of doubt, the Partner must contact the Operator and obtain consent to participate in the affiliate system.

---

A “**Visitor**” is a person who visits the Partner’s website where the advertisement is placed and is redirected to the Operator’s website by clicking on this advertisement.

---

A “**Partner Account**” is the Partner’s account maintained by the Operator within the administration of the affiliate system, to which the Partner has online access via a user interface. The account records data regarding, in particular, the number of visitors, orders and their status, and the commission account. One Partner may not have more than 1 Partner Account without the Operator’s consent.

---

A “**Commission Account**” means an account containing records of all Partner’s remunerations to which a valid claim has arisen. The Commission Account is part of the Partner Account.

---

“**Partner’s Website**” means websites operated by the Partner or for the administration of which the Partner is otherwise authorized, in particular, authorized to place third-party advertisements on these sites.

---

“**Advertising Space**” means a reserved place on the Partner’s website intended for displaying advertisements from this affiliate system, if this form of promotion is agreed upon between the Operator and the Partner. Advertisement means, for example, a banner, another advertising element, or a text link, always with an active link to the Operator’s website. For the purpose of placing the advertising space, the Operator shall provide the Partner with the relevant affiliate link, through which the Partner places the Operator’s advertising space on their own or managed Partner’s website.

---

“**Affiliate Link**” means a static URL address (predetermined by the Operator and communicated to the Partner) that the Partner uses to link to the Operator’s website, if this form of promotion is agreed upon between the Operator and the Partner.

---

“**Click-through**” means a conscious click on the advertising space or affiliate link by a Visitor on the Partner’s website, which activates the link to the Operator’s website.

---

“**Remuneration**” of the Partner for cooperation means the commission for mediated Visitor orders.

---

## 2. Advertising Spaces, Affiliate Links, and Clicks

### 2.1 RULES FOR PARTNER’S WEBSITE

By participating in the affiliate system, the Partner undertakes to create sufficient space on their website for the placement of the advertising space (and/or affiliate link) and to place this advertising space (and/or affiliate link) on the website using the relevant HTML code provided by the Operator.

---

Advertising spaces and affiliate links may only be placed on a website.

---

Advertising spaces and affiliate links must not be located and must not be published on a second and/or third-level domain that contains the word (or words) corresponding to the Operator’s trademark (“TORET”) in its name. The Partner’s website must not give the impression that it is operated by the Operator, especially if it contains the Operator’s logo or characteristic graphics used by the Operator on its website or for advertising purposes. Accompanying promotional materials containing graphic elements may only be used with the Operator’s consent. In case of doubt, the Partner must immediately contact the Operator.

---

Advertising spaces and affiliate links cannot be placed and published on websites with content that is in conflict with the laws of the Czech Republic, valid international conventions, or good morals, with illegal content, pornographic themes, offering illegal downloading options (warez, MP3, etc.), or on websites that link to or otherwise promote such sites.

---

The Partner is obliged to ensure that advertising spaces and affiliate links are placed or published on websites that do not threaten or harm the Operator’s good reputation.

---

The Partner must not display other advertising spaces and/or elements on the website where the advertising space is displayed or the affiliate link is placed, which the Visitor could confuse with the Operator’s advertising space or affiliate link and/or could associate with the Operator’s advertising space or affiliate link or their activities.

---

Advertising spaces and affiliate links must not be placed or published on pages without content or on pages created solely for the purpose of displaying advertisements, whether the content is relevant or not.

---

The Operator may at any time request from the Partner a list of all websites or other media on which the Operator’s advertisement is displayed or has recently been displayed. If the Partner does not supply such a list within 5 days of the request, the Operator is entitled to suspend the Partner Account until this matter is resolved. The Operator is entitled not to pay remuneration for displaying advertisements, clicks, and subsequent mediated orders for which the Partner is unable to credibly prove the source.

---

### 2.2 RULES FOR ADVERTISING SPACES

The Partner must not alter the HTML codes, graphic design, or content of the advertising spaces provided by the Operator for placement on the Partner’s website in any way without the Operator’s prior consent.

---

The Partner must not use any means or tools to block the full opening and display of the Operator’s website after clicking on the advertising space or otherwise restrict the Visitor’s access to the Operator’s website.

---

Advertising spaces may only be placed on the Partner’s websites that are part of the worldwide Internet network. In particular, it is forbidden to insert them into emails and programs without prior approval by the Operator.

---

### 2.3 RULES FOR AFFILIATE LINKS

The Operator’s website (target of the affiliate link) must not be loaded without the Visitor’s knowledge. This includes, in particular, the use of frames (frame, iframe), hidden images, popup and popunder windows, autohits systems, and similar.

---

Clicking on an element with an affiliate link must be the intent of the Visitor, who must always be aware that it is an advertisement for the Operator’s website.

---

### 2.4 RULES FOR COOKIES

Mediation of access to the Operator’s website via the Partner’s website is recorded only if the Visitor has enabled cookies in their browser, has fully enabled them for the Operator’s website, and the given record in cookies, originating from the click-through, is present and available when completing the order of goods or services.

---

If the Visitor does not have cookies enabled, blocks their use for the Operator’s website, subsequently deletes them from their browser, overwrites them, or otherwise makes it impossible to read the original record from cookies when completing the order of goods or services, the Operator bears no responsibility for this and the Partner is not entitled to a commission from the order created by the Visitor.

---

Information in cookies about the Visitor’s click-through via the advertising space or affiliate link from the Partner’s website is valid for 100 days from the click-through. After this period, orders created by the Visitor are not considered mediated by the Partner and no right to a commission arises. The validity period of the information in cookies about the click-through may be unilaterally changed by the Operator, with the change being effective from the moment of its publication on the Operator’s website.

---

Only the Partner through whose affiliate link or advertising space the Visitor arrived last is entitled to the commission.

---

### 2.5 OTHER CONDITIONS FOR PROMOTION

When promoting the Operator’s goods and services using advertising systems (e.g., PPC), links must not direct to the Operator’s website, but only to the Partner’s website. The Partner is also not entitled to use the word (or words) corresponding to the Operator’s trademark (“TORET”) in the text of the advertisement in the advertising system (especially PPC).

---

It is forbidden to insert affiliate links into unsolicited mail (spam) or into any other unauthorized form of promotion. For any mass promotion, the Partner must have the direct consent of all recipients to send such communications. This means that a third-party contact database cannot be used. Recipients must have an easy way to unsubscribe.

---

It is forbidden to publish affiliate links on the Operator’s websites (e.g., in comments or discussions) and on social media pages belonging to the Operator.

---

### 2.6 REJECTION OF ADVERTISING SPACES AND AFFILIATE LINKS

The Operator reserves the right to remove from the affiliate system such advertising spaces or affiliate links of the Partner that show no activity for one month or longer, do not lead to traffic to the Operator’s website, and/or are non-functional.

---

The Operator reserves the right to refuse the display or publication of advertising spaces or affiliate links on inappropriate sites without giving a reason. The decision on suitability or unsuitability depends on the Operator. If the Partner violates any of the above restrictions, the Operator is entitled to proceed in accordance with point 4.2.

---

## 3. Remuneration

### 3.1 COMMISSION

The amount of the commission is governed by the “Commission Schedule” according to the relevant assortment of goods or services published on the Operator’s website. The commission rates valid at the time the order is created are decisive for calculating the final commission for mediated Visitor orders.

---

The Partner’s commission is calculated from the total price of goods and services (excluding VAT) from the mediated order concluded by the Visitor. The commission is calculated only from the total price of delivered services and goods that were ordered in the initial order by the end customer (items added to the order additionally are therefore not included).

---

The Partner is entitled to a commission only from a completed order, i.e., for goods or services actually delivered by the Operator or advertiser to the Visitor, which were properly paid for by the Visitor. The Visitor’s order is considered completed on the day the final invoice or similar document or confirmation is issued.

---

Commissions to which the Partner has a valid claim will be recorded on the Partner’s Commission Account maintained within the Partner Account. The commission from a completed order is recorded on the Partner’s Commission Account upon completion of the order. If the order is subsequently cancelled by the Visitor after its completion as part of the “14-day money-back guarantee” service, the claim to the commission expires and the commission will be rejected on the Commission Account. Likewise, the Partner is not entitled to a commission for orders cancelled due to a violation of the Operator’s or advertiser’s terms of service by the Visitor.

---

The Partner is not entitled to a commission from an order that is realized for the benefit of the Partner, their family members or relatives, or for the benefit of their business activities and/or property-connected persons.

---

The Partner is only entitled to commissions that were obtained in accordance with these conditions and were not achieved in a fraudulent or unfair manner.

---

### 3.2 PAYMENT OF REMUNERATION

The Partner is entitled to payment of remuneration if the total amount of remuneration on their Commission Account reaches at least 2,000 CZK at the end of the calendar month. If this limit is not reached, the amount is carried over to the next month.

---

Payment of remuneration to the Partner is carried out by the Operator (hereinafter “Remuneration Payer”).

---

The remuneration is paid to the Partner by bank transfer in the main currency Czech Koruna.

---

The Partner generates a request for payment in their Commission Account. After sending the request, the Partner will be contacted with information about the exact amount of the confirmed commission for the given time period. Based on this information, the Partner sends an invoice to the Operator in the amount of the confirmed commission with a maturity of 30 days.

---

Transaction costs for foreign payments are always borne by the Partner in full.

---

Before paying the remuneration, the Operator checks the Partner Account data. In case of any discrepancies (especially if the data appears to be incomplete or incorrect), the Operator notifies the Partner of its findings, and the contracting parties undertake to provide the cooperation necessary to resolve this matter. The deadlines set for payment of remuneration are suspended for the duration of resolving such a matter.

---

The Operator has the right to ask the Partner for confirmation of their business activity. The deadlines set for payment of remuneration are suspended for the duration of resolving such a matter.

---

## 4. Duration of the Agreement and its Termination

1. The cooperation agreement is concluded for an indefinite period.

### 4.1 TERMINATION OF THE AGREEMENT

The agreement may be terminated: a) by agreement between the Partner and the Operator. b) by notice of termination by the Partner or the Operator. c) by withdrawal by the Partner or the Operator.

---

The Operator is entitled to withdraw from this contract if it is proven that the Partner is acting in violation of these terms and conditions, legal regulations, or good morals.

---

By withdrawing from the agreement on the part of the Operator, the Partner loses the right to any remuneration.

---

The Partner is obliged to remove all advertising spaces and all affiliate links on all websites where they were placed by the Partner, including third-party websites, at their own expense no later than 5 days from the date of termination of the agreement.

---

In the event of termination of the agreement between the Operator and the Partner based on agreement or notice, the Partner is entitled to request payment of remunerations from the Operator to which a claim arose as of the date of termination of the agreement, no later than 15 days from the date of termination of the agreement. If the Partner does not request payment of remunerations from the Operator within the specified period, they lose any further claim to them. Subsequent payment will be made in accordance with points 3.1 and if not in conflict with these conditions. The payment will take place according to point 3.2.

---

Termination of the agreement is notified by email.

---

### 4.2 VIOLATION OF CONDITIONS BY THE PARTNER

In case of violation of these conditions by the Partner or in case of justified doubts about the Partner’s compliance with the conditions, the Operator has the right to demand the Partner to remove the advertising space on their website, block the Partner’s account or remove it, cancel rewards on the Commission Account that were obtained in connection with the violation or non-compliance with the conditions, or refuse to pay those rewards where there is a suspicion of their dubious acquisition.

---

By removing the Partner’s account for the stated reasons, the Partner loses the right to rewards that were not paid to them as of the date of the Partner’s account cancellation, without any possibility of compensation.

---

The decision on the violation of conditions and subsequent measures is fully within the competence of the Operator.

---

## 5. Final Provisions

1. Participation in the affiliate system arises upon approval of the Partner’s registration.
2. These conditions, the cooperation agreement, as well as rights and obligations not expressly regulated here, are governed by the Czech legal order, specifically the Commercial Code No. 513/1991 Coll.

### 5.1 PROTECTION OF INFORMATION AND PERSONAL DATA PROTECTION

Both the Operator and the Partner undertake to maintain confidentiality regarding facts they learned from each other in connection with the Affiliate System.

---

Information protection does not apply to cases where the Operator has an information obligation established by law or when information is requested by state authorities authorized to do so by law, or if it concerns information that is publicly available.

---

Details regarding personal data, handling of personal data, and personal data protection are in a separate document [Privacy Policy](https://www.toret.net/privacy-policy/) on the Operator’s website.

---

The Operator undertakes to secure the protection of personal data against unauthorized or accidental access, to prevent their alteration, loss, or destruction, unauthorized transmission, or their other unauthorized processing, as well as other misuse.

---

### 5.2 CHANGE OF TERMS AND CONDITIONS

The Operator reserves the right to unilaterally change these terms and conditions. Changes will be announced to Partners in advance in the relevant section (News) and become effective from the moment of their publication on the Operator’s website. If the Partner does not agree with the changes to the conditions, they may terminate the cooperation agreement in accordance with the relevant provisions in Article 4.1.

---

In the event that any provision of these conditions is or becomes partially or wholly invalid, ineffective, or unenforceable, the validity of the other provisions remains unaffected.

---

### 5.3 LIABILITY OF THE OPERATOR

The Operator is not liable for any damages caused by the failure of the affiliate system server, server overload or errors in the affiliate system or failure on the Internet network, resulting in advertising spaces not displaying, loading of the Partner’s website being disrupted, click-throughs not being processed correctly, or orders not being mediated.

---

### 5.4 LIABILITY AND OBLIGATIONS OF THE PARTNER

The Partner is fully liable for all damages caused by their actions in violation of these conditions and/or the legal order of the Czech Republic, valid international conventions, or good morals to the Operator, other users of the Operator’s website, or other third parties. This liability cannot be waived.

---

The Operator reserves the right to demand the Partner to remove advertising spaces or affiliate links from the Partner’s website, demand the termination of activities that harm the Operator directly or indirectly, disable advertising spaces or affiliate links, or remove the Partner’s commission account without giving reasons, while the Partner does not lose the right to rewards achieved up to that time with the exception mentioned in the previous point.

---

The Partner guarantees the Operator the correctness and completeness of the data provided in the registration. At the same time, the Partner is obliged to update all changes immediately.

---

The Partner is obliged not to abuse any errors in the affiliate system or publish or communicate them to third parties. If the Partner discovers an error or other discrepancy in the affiliate system that causes incorrect system behavior, security breaches, or other difficulties, they are obliged to notify the Operator of this fact immediately.

---

The Partner is obliged to take all measures to protect all access data (login name and password) of all users for the administration and use of services and for access to the Partner Account. The Partner is responsible for any damages arising from the misuse of the system by a third person who uses the correct login name and password for access.

---
